Article I. Board of Directors
1.10.010 Time of meetings.
The time of regular meetings of the board of directors shall be established by resolution of the board of directors. (Ord. 1 § 1, 1954)
1.10.020 Place of meetings.
The place of meetings of the board of directors, including regular and special meetings, shall be established by resolution of the board of directors. (Ord. 1 § 2, 1954)
1.10.030 Meetings to be open and public.
All meetings of the board of directors shall be open and public, and all persons shall be permitted to attend any meeting of this district, except as provided in WMWDC 1.10.060. (Ord. 1 § 3, 1954)
1.10.040 Adjournment of meetings.
The board of directors may adjourn any regular or adjourned meeting to a time and place specified in the order of adjournment. When so adjourned, the adjourned meeting is a regular meeting for all purposes. When an order of adjournment of a regular or adjourned meeting fails to state the hour at which the adjourned meeting is to be held, it shall be held at the hour specified by the resolution establishing the hour for the holding of a regular meeting. 1.10.050 Special meetings.
A special meeting may be ordered at any time by the presiding officer or by a majority of the directors, by delivering personally, or by mail, written notice to each local newspaper of general circulation, radio or television stations requesting notice in writing. Such notice must be delivered personally or by mail, at least 24 hours before the time of such meeting as specified in the notice. The order calling such special meeting shall specify the time and place of the special meeting and the business to be transacted. No other business shall be considered at such special meetings of the board of directors. (Ord. 1 § 5, 1954)
1.10.060 Executive sessions.
Notwithstanding the provisions of WMWDC 1.10.030, nothing shall prevent the board of directors from holding executive sessions to consider the employment or dismissal of a public officer or an employee, or to hear complaints or charges brought against such officer or employee by another public officer, person or employee, unless such officer or employee requests a public hearing. The board may exclude from any such public or private meeting, during the examination of a witness, any or all other witnesses in the matter being investigated by the board. (Ord. 1 § 6, 1954)
Article II. Board Committees
1.10.070 Board member attendance at board committee meetings.
The meetings of board committees may be attended by any and all directors. Such directors may attend and participate in such meetings contingent upon implementation of the applicable Brown Act requirements. (Res. 2897 § 2, 2015)
1.10.080 Special meeting notice.
In order to satisfy the Brown Act requirements that apply to any meeting where a majority of the board may be present or where noncommittee members may be present, district staff shall implement the notice and agenda procedures for the calling of a special meeting of the board for each meeting of a board committee. In the event such a special meeting takes place, it will be referred to as a “committee of the whole.” (Res. 2897 § 3, 2015)
1.10.090 Committee of the whole.
The Brown Act notice for board committee meetings shall combine the notice for a board committee meeting with the notice for a special meeting of the board as the committee of the whole. The standard language on agendas for board committee meetings, combined with the agenda and special meeting notice for the potential committee of the whole, shall explain the procedure to be followed in the event of a committee of the whole. Such language may be revised from time to time by district staff in its discretion. Such agenda language shall address at least the following matters:
A. The board committee meeting is noticed as a joint meeting of the board committee and a special meeting of the board because a quorum of the board may be present and/or noncommittee members may be present and wish to participate.
B. If a quorum of the board is present, and/or noncommittee members are present, the meeting will continue as a committee of the whole.
C. Directors who are not members of the board committee may attend and participate in the meeting as a committee of the whole.
D. Actions taken pursuant to the agenda, whether taken by the board committee or the committee of the whole, shall be deemed to be recommendations for board consideration and possible action at a subsequent meeting of the board. (Res. 2897 § 4, 2015)
