2.05.010 Compensation.

(1) The Commissioners of the District, pursuant to RCW 57.12.010 and as may hereinafter be amended, shall be compensated at the maximum per diem rate as established by the State Legislature for attending each regular meeting of the District, held on the first and third Mondays of each month; for attending each special meeting of the District, held pursuant to notice being given as established by the Open Public Meeting Act, Chapter 42.30 RCW; and for non-meeting time, such as attendance at conventions and reviewing District operations, devoted to the business of the District, for the reason that the time actually spent in a meeting represents only a small portion of the time spent by the Commissioners preparing themselves for said meeting. The total per diem for attending meetings and for other time devoted to the business of the District is hereby limited to that amount per calendar year as set forth by the State Legislature and as provided by RCW 57.12.010.

(2) The member of the Board of Commissioners elected as Secretary shall not be paid any additional sum.

(3) Each Commissioner shall be reimbursed for reasonable expenses actually incurred in connection with the business of the District including subsistence and lodging, while away from the Commissioner’s place of residence and mileage for use of a privately owned vehicle at the mileage rate authorized in RCW 43.03.060 as now existing or hereinafter amended. 2.05.020 Meetings.

(1) Regular monthly meetings of the Board of Commissioners will be held on the first and third Monday of each month. Work sessions will be held on the second and fourth Monday of each month. Whenever a legal holiday falls on a first, second, third or fourth Monday, the regular meeting or work session will be rescheduled to the next work day at the same hour.

(2) All meetings and work sessions will start at 5:00 p.m.

(3) Notwithstanding subsections (1) and (2) of this section, the Board may by resolution change the date, time or place of a meeting or work session. The new date, time or place of the meeting or work session will promptly be posted on the District website.

(4) Special meetings of the Board of Commissioners are governed by RCW 42.30.080, which permits such meetings to be called at any time by the Board President, or by a majority of the members of the Board by delivering written notice personally, by mail, by fax, or by electronic mail to each member of the Board. Notice shall promptly be posted on the District website and on the front door of the District office, and provided to local media as required by law. In the event of an emergency, the Board may conduct a special meeting in conformance with RCW 42.30.070 and 42.30.080 or comparable statutory provisions in effect at that time.

(5) All meetings of the Board of Commissioners will be held at the offices of the District, 3626 156th Street SW, Lynnwood, Washington, unless otherwise ordered by the Board of Commissioners. The Board of Commissioners may, in its discretion, allow commissioners, staff or members of the public to participate in a regular Board meeting remotely via video conference or telephone conference.

(6) All meetings shall be presided over by the President of the Board, or the Vice President by delegation of the President, or in the absence of the President, according to an agenda prepared by the General Manager; provided, that the President may entertain additions to the agenda at the meeting and may call agenda items out of order for the convenience of the Board or the public.

(7) All meetings shall be conducted according to Robert’s Rules of Order (latest edition); provided, that the President shall be allowed to make or second motions. Formal reading of the minutes will be dispensed with unless requested by a Commissioner.

(8) All action taken by the Board shall be in the form of:

(A) Motions duly passed and recorded in the minutes book of the District; or

(B) Separate numbered and duly adopted resolutions. [Res. 2770 § 1 (Exh. B), 2023; Amended during 2016 codification; Res. 2564 §§ 1 – 6, 2010].

2.05.030 Employment of sitting Commissioners.

(1) The District shall not accept an application of employment from a sitting Commissioner.

(2) The District shall not accept an application of employment from a former Commissioner, unless that Commissioner vacated his or her position as a Commissioner no less than 60 days prior to the submission of the employment application.

(3) The General Manager is directed to (A) return any application received in violation of this policy by U.S. Mail; and (B) note in District records that the application was received, returned and not considered in the employment decision.

(4) A former Commissioner who submits an application in compliance with this section shall be considered along with any other applicants, but a former Commissioner shall not receive preferential treatment and shall be evaluated according to the criteria adopted for the position and applied to all applicants.

(5) The Board reserves the right to establish special employment procedures whenever a former Commissioner is an applicant, including but not limited to establishing a review committee of qualified employees of other municipalities. [Amended during 2016 codification; Res. 2339 §§ 1 – 5, 1999].
